Attention: This purchase of forms on a computer disc is a license and not a sale. This product is provided under the following license which defines what you may do with the product and contains limitations on warranties and or remedies.
License Agreement and Registration Fill out completely or delays may result. Carefully read this license and sign below. This license agreement is your proof of license. Treat it as valuable property.
A. License: Heur Evectic, Inc. ("we" or "us"), provides you with the forms and additional documents on a computer disc (together called the "product" or "form(s)") and grants you a license to use the product in accordance with the terms of this license. The copyright and all other rights in the Product shall remain with us or our suppliers. You agree to keep our copyright notice on each form when utilizing any form(s) or any derivatives you make of the form(s) for any reason. You may not make copies of any portion or all of the Product except for your own personal use. This product is not available to persons who train individuals who are not permanent employees of or contractors who work exclusively for the company listed below. It is also not available to companies or individuals who sell training services or to franchises or individuals affiliated in any way with franchises. All sales are final.
B. You (the registered user signed below) may: 1. Use the Product yourself only. If you wish to allow others to use the Product, you will need a further license for each additional person. You must contact us at (888) 4664677 or (801 ) 4664447 to add another to the license. Heur Evectic reserves the right to set the price for such additional licenses at the time of the supplemental license request. 2. Use one of each form per inspection and provide any individual or company involved with the transaction to receive a copy of the form. 3. Add or remove any items you wish to the forms as long as you keep our copyright notice at the bottom of each page.
C. You may not: 1. Reproduce any portion or all of the Product in any form or by any electronic means or mechanical means including information storage and retrieval for or to others. This prohibition includes transcribing or rewriting yourself. 2. Use the Product except as permitted in this license. 3. Sell or resell the product 4. Publish or distribute any of the product to others 5. Rent, lease, assign or transfer the product
D. Term: This License shall continue for as long as you use the Product. However, it will terminate if you fail to comply with any of its terms. You agree upon termination, to deliver the copies to us at our request.
E. Limitation of warranties and liability: This product is provided on an "as is" basis, without any other warranties, or conditions, express or implied, including but not limited to warranties of merchantable quality, merchantability or fitness for a particular purpose, or those arising by law, statute, usage of trade or course of dealing. The entire risk as to the results and performance of the Product is assumed by you. Neither we nor our dealers or suppliers shall have any liability to you or any other person or entity for any indirect, incidental, special or consequential damages whatsoever, including but not limited to loss of revenue or profit, lost or damaged data or other commercial or economic loss, even if we have been advised of the possibility of such damages or they are foreseeable; or for claims by a third party. Our maximum liability to you, and that of our dealers and suppliers shall not exceed the amount paid by you for the product. The limitations in this section shall apply whether or not the alleged breach or default is a breach of a fundamental condition or term, or a fundamental breach. Some states do not allow the exclusion or limitation of liability for consequential or incidental damages so the above limitation may not apply to you. You agree you will not advertise any affiliation or ties with the School of Building inspection, HE, etc., including, but not limited to, claiming certification by the School of Building Inspection.
F. General: This license is the entire agreement between us, supersedes any other agreement or discussions, oral or written and may not be changed except by a written signed agreement. This agreement shall be interpreted under the laws of the State of Utah and the United States, including U.S. copyright law with the exception that the Fair Use Doctrine shall not apply. You and HE agree that any claim, dispute, or controversy arising out of or in connection with this agreement, or any breach thereof (including violations of copyright that may have occur(red) during the series review period before this contract was signed, or during or after the term of this contract, whether discovered during or after this contract has been terminated), shall be finally settled by binding arbitration administered by Intermountain ADR Group of Salt Lake City, Utah or a comparable entity in Salt Lake City, Utah and conducted in accordance with the Utah Arbitration Act found in Utah Code 7831a, arbitrated by an arbitrator in Salt Lake City, Utah, U.S.A. in accordance with the relevant rules, and judgement on the award rendered by the arbitrators may be entered in any court having jurisdiction thereof. The language of any such arbitration shall be English. If a dispute arises, no change in payment status may occur until after arbitration is complete, and then only in favor of the prevailing party. If any provision of this License is declared by a Court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed from the License and the other provisions shall remain in full force and effect. You understand that this package does not include software but only files to be used with word processor software you may already own or purchase elsewhere and therefore, we do not provide technical support with this package. You also understand that because there are a variety of different word processor softwares and versions, the computer files we provide you with may have to be reformatted for your particular word processor program and version, computer and printer. You also understand that while we have made a good faith effort to provide you with a file that you may be able to integrate into your word processor program easily, you may have to spend significant effort and time to integrate the files into your program or to produce a finished product you feel comfortable using.
